LONDON, UK / ACCESSWIRE / May 28, 2021 / Further to the Company’s previous releases in relation to various initiatives undertaken as part of its continued drive towards compliance with the UK Corporate Governance Code (“the Code”), the Board of SolGold (LSE:SOLG)(TSX:SOLG) is pleased to provide the following update.
Board Committee Compliance
The recent appointment of Mrs Maria Amparo Alban to the Nominations Committee of the Board has brought that Committee into full compliance with the Code.
The Board considers that each of the Audit, Remuneration and Nominations Committees now fully comply with the requirements of the Code. Details of the composition and charter of each Committee are currently available on the Company’s website and will also be provided in the 2021 Annual Report.
Update Following 2020 AGM
The Board notes that three (3) of the thirteen (13) resolutions put to the 2020 AGM (convened in December 2020) attracted greater than 20% of votes “against” the resolution. These resolutions related to the re-election of Messrs Mather and Clare, and the ability of the Company to raise fresh capital via the allotment of shares. In addition, two (2) further capital raising related resolutions were withdrawn ahead of the AGM.
The Board, via Chair Mr Twigger, Senior Independent Director Ms Grant-Goodey, and Interim CEO Mr Keith Marshall, have consulted with a range of the Company’s corporate and institutional shareholders over the past months in relation to a wide range of issues including the 2020 AGM.
As a result of these consultations, and the continued drive by SolGold towards full compliance with the Code, the Board believes that it has addressed a number of the concerns previously held by certain shareholders which resulted in the votes cast “against” at the 2020 AGM, as noted above.
The shareholders consulted are supportive of the Company’s approach to its Pre-Feasibility Study being undertaken in relation to the Alpala Project, and the international search being conducted for the appointment of a new permanent CEO to lead the Company through its next stage of growth and development.
As shareholders would be aware, the Company recently raised USD73.8m via a placing and retail offer, and the raising was supported by a range of the Company’s existing corporate and institutional shareholders including BHP, Newcrest and Valuestone, amongst others. The Board believes this demonstrates the alignment of its strategy and capital management approach with that of the Company’s shareholders.
The Board will continue to consult with its shareholders via non-deal roadshows, conference attendances and broker-sponsored presentations, etc. Due to the ongoing impacts associated with lock-downs and travel restrictions, these processes may be undertaken virtually rather than in person.

Dedicated stakeholders
SolGold employs a staff of over 800 employees of whom 98% are Ecuadorean. This is expected to grow as the operations expand at Alpala, and in Ecuador generally. SolGold has engaged an increasingly skilled, refined and experienced team of geoscientists using state of the art geophysical and geochemical modelling applied to an extensive database to enable the delivery of ore grade intersections from nearly every drill hole at Alpala. About Cascabel and Alpala
The Alpala deposit is the main target in the Cascabel concession, located on the northern section of the heavily endowed Andean Copper Belt, the entirety of which is renowned as the base for nearly half of the world’s copper production. The project area hosts mineralisation of Eocene age, the same age as numerous Tier 1 deposits along the Andean Copper Belt in Chile and Peru to the south. The project base is located at Rocafuerte within the Cascabel concession in northern Ecuador, an approximately three-hour drive on sealed highway north of the capital Quito, close to water, power supply and Pacific ports.
Having fulfilled its earn-in requirements, SolGold is a registered shareholder with an unencumbered legal and beneficial 85% interest in ENSA (Exploraciones Novomining S.A.) which holds 100% of the Cascabel concession covering approximately 50km2. The junior equity owner in ENSA is required to repay 15% of costs since SolGold’s earn in was completed, from 90% of its share of distribution of earnings or dividends from ENSA or the Cascabel concession. It is also required to contribute to development or be diluted, and if its interest falls below 10%, it shall reduce to a 0.5% NSR royalty which SolGold may acquire for US$3.5million.
SolGold’s Regional Exploration Drive
SolGold is using its successful and cost-efficient blueprint established at Alpala, and Cascabel generally, to explore for additional world class copper and gold projects across Ecuador. SolGold is the largest and most active concessionaire in Ecuador.
The Company wholly owns four other subsidiaries active throughout the country that are now focussed on thirteen high priority gold and copper resource targets, several of which the Company believes have the potential, subject to resource definition and feasibility, to be developed in close succession or even on a more accelerated basis compared to Alpala.
